For EU/EEA consumers, your mandatory statutory rights under applicable EU law are not affected by these Terms.

1Introduction & Acceptance

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Weight Management System 4.0 (“WMS4.0,” “we,” “us,” or “our”), a company incorporated under the laws of the Socialist Republic of Vietnam, governing your access to and use of the WMS4.0 platform, website, mobile application, and all related services (collectively, the “Platform”).

If you are accepting these Terms on behalf of a legal entity, you represent that you have the authority to do so. If you do not agree to these Terms, you must not access or use the Platform.

✅ EU/EEA Consumer Protections For EU/EEA consumers, your mandatory statutory rights under the EU Consumer Rights Directive (2011/83/EU), the Digital Services Act (EU) 2022/2065, and applicable national consumer protection laws are not affected by these Terms. In the event of any conflict between these Terms and applicable EU mandatory law, EU mandatory law shall prevail.

2Definitions

“Platform”The WMS4.0 website, mobile application, software, and all associated services, content, and features.
“Services”All features made available to Users including AI assistant, personalised plans, community access, and coaching tools.
“Subscription”A paid recurring access plan (Monthly or Annual) granting access to the Platform’s premium features.
“User Content”Any data, text, images, or information submitted by the User to the Platform, including health metrics and profile information.
“AI Assistant”The automated recommendation and guidance tool powered by artificial intelligence integrated into the Platform.
“Consumer”Any natural person acting for purposes outside their trade, business, craft, or profession, as defined under EU law.
“Working Days”Monday through Friday, excluding public holidays in Vietnam and in the User’s country of residence.

3Eligibility & Account Registration

The Platform is intended for users who are at least 16 years of age (or 18 years in jurisdictions where the age of majority is 18). Users between the ages of 13 and 16 may access the Platform solely with verified parental or guardian consent. We do not knowingly permit access to users under the age of 13.

To access the Platform’s features, you must register an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activity that occurs under your account;
  • Notifying WMS4.0 immediately of any unauthorised use of your account at info@24k.agency.

You may not create an account on behalf of another person without their express authorisation, or use automated means to register accounts. Each user is permitted one (1) account. WMS4.0 reserves the right to merge or terminate duplicate accounts at its discretion.

WMS4.0 does not guarantee continuous, uninterrupted access to the Platform. We reserve the right to modify, suspend, or discontinue any feature at any time, with reasonable advance notice to Users where the modification materially impacts their subscription.

5Subscriptions, Pricing & Payment

Basic progress tracking and educational content. No payment required.

Annual
USD/yr

All features at a discounted rate. Billed once per year.

All prices are displayed in US Dollar (USD) inclusive of applicable VAT where required by EU law. WMS4.0 reserves the right to modify pricing with at least 30 days’ advance written notice to active subscribers. Price changes will not apply to the current billing cycle.

5.1 Free Trials

Where a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. You will be notified clearly of the trial end date at the time of registration.

5.2 Auto-Renewal

Your Subscription will automatically renew at the end of each billing period at the then-current subscription rate unless you cancel before the renewal date. You will receive an email reminder at least 14 days before each annual renewal and 3 days before each monthly renewal.

To prevent auto-renewal, cancel at least 24 hours before the next billing date via Account Settings → Subscription → Cancel Plan, or by contacting info@24k.agency. Cancellation takes effect at the end of the current billing period — you retain access until that date.

5.3 Failed Payments

If a payment fails, WMS4.0 will attempt to retry the charge up to three (3) times over seven (7) days. If payment remains unsuccessful, your account will be downgraded to the Free plan. You will be notified by email at each failed attempt.

5.4 VAT for EU Users

Applicable VAT will be calculated and applied based on your country of residence in accordance with EU VAT rules for digital services. The applicable VAT rate will be clearly displayed before you complete your purchase.

6Right of Withdrawal & Cancellation EU / EEA

✅ Your Legal Right (Art. 9, Consumer Rights Directive 2011/83/EU) If you are a consumer located in the EU/EEA, you have the right to withdraw from this contract within 14 calendar days without giving any reason. This is a mandatory right that cannot be waived by these Terms.

The 14-day withdrawal period begins on the day you conclude the subscription contract (i.e., the day your subscription is activated). To exercise this right, you must communicate your decision before the 14-day period expires via any of the following methods:

  • Email to: info@24k.agency with subject “Right of Withdrawal”;
  • Account Settings → Subscription → Withdraw from Contract;
  • Post/written notice to our registered address.

6.1 Effect of Withdrawal

Upon valid exercise of the right of withdrawal, WMS4.0 will reimburse all payments received from you using the same payment method, within 14 days of receiving your withdrawal notice.

⚠ Express Request to Begin Immediately If you expressly request that we begin providing the digital service before the end of the withdrawal period (by clicking “Start Now” or “Begin Immediately” at checkout), and we have informed you that this results in a partial forfeiture of the right of withdrawal, then you acknowledge that you will be charged a proportionate amount for the services provided up to the time of withdrawal.

7Refund Policy

Outside the 14-day withdrawal window, you may cancel your subscription at any time. Cancellation is effective at the end of the current billing period; no prorated refunds are issued for the remaining period unless otherwise required by applicable mandatory law.

If you cancel an Annual Subscription after the 14-day withdrawal period, no refund is provided for unused months. You will retain access to premium features until the subscription period ends.

WMS4.0 may, at its sole discretion, issue refunds in exceptional circumstances (e.g., billing errors, prolonged technical unavailability). Such decisions do not create a precedent or entitlement.

⚡ Chargebacks Initiating a chargeback without first contacting WMS4.0 to resolve a billing dispute may result in immediate account suspension pending investigation. Please contact info@24k.agency first.

8Account Suspension & Termination

You may delete your account at any time via Account Settings → Delete Account. Account deletion does not entitle you to a refund for any prepaid subscription period, except as required by law or during the applicable withdrawal period.

WMS4.0 reserves the right to suspend or permanently terminate your account in the event of:

  • Breach of these Terms or our Acceptable Use Policy;
  • Fraudulent, abusive, or illegal conduct;
  • Non-payment of subscription fees;
  • Actions that harm other users, WMS4.0, or third parties.

Where reasonably practicable, WMS4.0 will provide prior notice and an opportunity to rectify the issue. EU consumers whose accounts are suspended or terminated have the right to challenge such decisions through WMS4.0’s internal complaint mechanism (see Section 19) or through the relevant out-of-court dispute resolution body (see Section 17).

Upon termination, your right to access the Platform ceases immediately. You may request a data export prior to account deletion.

9Intellectual Property

All content, software, algorithms, trademarks, logos, and materials on the Platform are the exclusive property of WMS4.0 or its licensors, protected by Vietnamese and international intellectual property law.

Subject to your compliance with these Terms, WMS4.0 grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial purposes only.

You expressly agree not to: copy, reproduce, distribute, modify, or create derivative works of any Platform content; reverse-engineer or decompile any Platform software; or use the Platform’s content for any commercial purpose without prior written consent from WMS4.0.

10Acceptable Use Policy

You agree to use the Platform only for its intended purposes and in compliance with all applicable laws. The following conduct is strictly prohibited:

  • Uploading false, misleading, or harmful content;
  • Harassing, threatening, or abusing other users or WMS4.0 staff;
  • Using the Platform to distribute spam, malware, or phishing content;
  • Attempting to gain unauthorised access to other accounts or Platform systems;
  • Using automated bots or scrapers to access Platform content;
  • Impersonating another person or entity;
  • Sharing login credentials or reselling Platform access.

WMS4.0 reserves the right to remove any User Content that violates this policy and to take appropriate action, including account suspension.

11AI Assistant — Limitations & Disclaimer

⚠ AI Tool — Not a Licensed Healthcare Professional The AI Assistant is a general-purpose digital tool. Its recommendations are based on the information you provide and statistical patterns. They are not individually validated by a licensed healthcare professional for your specific medical circumstances.

You acknowledge and agree that:

  • AI recommendations are informational only and do not constitute medical advice;
  • The AI Assistant may produce inaccurate, incomplete, or inappropriate outputs;
  • You bear sole responsibility for any decisions made based on AI recommendations;
  • All AI-generated plans are reviewed and may be supplemented by certified coaches, but no individual review is guaranteed for every AI-generated output.

WMS4.0 operates within the requirements of the EU AI Act insofar as applicable to digital health assistant systems.

12Medical Disclaimer & Health Responsibility

⚡ Important Medical Disclaimer The Platform does not provide medical advice, diagnosis, or treatment. All content, tools, AI recommendations, plans, and materials are for general informational and educational purposes only. Nothing on the Platform constitutes professional medical advice.

You should always seek the advice of a qualified physician, dietitian, or other licensed healthcare provider before beginning any weight management programme, dietary change, or exercise regimen, particularly if you have an existing medical condition, are pregnant or breastfeeding, are taking prescribed medication, or have a history of eating disorders.

If you experience any medical emergency, adverse physical symptoms, or health concerns, discontinue use of the Platform immediately and seek professional medical attention. Do not delay seeking medical advice because of information received on the Platform.

WMS4.0 makes no representation, warranty, or guarantee that use of the Platform will result in weight loss, improved fitness, or any specific health outcome. Individual results vary significantly based on genetics, adherence, medical conditions, lifestyle factors, and other variables outside WMS4.0’s control.

13Limitation of Liability

To the fullest extent permitted by applicable law, WMS4.0, its directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of the Platform.

To the extent WMS4.0 is found liable under any theory of law, our total aggregate liability to you shall not exceed the greater of: (a) the total subscription fees paid by you in the twelve (12) months immediately preceding the claim; or (b) EUR 100.

✅ EU Consumer Rights Preserved Nothing in this Section limits or excludes any liability that cannot be excluded under mandatory applicable law, including EU consumer protection law. EU consumers retain all rights under the Consumer Rights Directive and Directive (EU) 2019/770 (conformity of digital services).

14Indemnification

You agree to indemnify, defend, and hold harmless WMS4.0 and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with:

  • Your breach of these Terms;
  • Your violation of any applicable law or third-party rights;
  • Your User Content uploaded to the Platform;
  • Your misuse of the AI Assistant or Platform features.

This indemnification obligation does not apply to EU consumers to the extent it conflicts with mandatory consumer protection laws.

15Digital Services Act (DSA) Compliance EU

WMS4.0 operates in compliance with Regulation (EU) 2022/2065 (Digital Services Act). In accordance with the DSA, WMS4.0 commits to the following:

15.1 Content Moderation

WMS4.0 moderates User Content in the Community features. We will act expeditiously to remove or disable access to clearly illegal content upon receiving actual knowledge of its existence. You may report illegal content or content violating our Acceptable Use Policy by:

  • Using the in-platform “Report” button on any post or comment;
  • Emailing: info@24k.agency with a description and URL of the content.

We will process reports promptly and notify the reporter of our decision, including reasoning and available redress options.

15.2 Algorithmic Transparency

Where the Platform uses algorithmic recommendation systems to present content or personalised plans, WMS4.0 will maintain transparency about the principal parameters used and provide users with an option to access content not based on profiling, where technically feasible.

16EU Consumer Rights Mandatory

17Dispute Resolution & Governing Law

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. For EU consumers, the application of Vietnamese law shall not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence.

In the event of any dispute, both parties agree to attempt to resolve the matter amicably within 30 days of written notice of the dispute.

17.1 EU Online Dispute Resolution (ODR)

EU consumers have the right to use Alternative Dispute Resolution (ADR) and the EU ODR platform. You may submit a complaint via:

Response: WMS4.0 will indicate whether we are willing to participate in an ADR procedure in response to any ODR submission.

For disputes not resolved amicably, the competent courts of Ho Chi Minh City, Vietnam shall have jurisdiction, subject to any mandatory right of EU consumers to bring proceedings in their country of habitual residence.

18Amendments to These Terms

WMS4.0 reserves the right to modify these Terms at any time. When we do:

  • We will post the revised Terms with an updated “Effective Date”;
  • For material changes, we will notify you by email at least 30 days in advance;
  • For EU consumers, material changes to ongoing subscriptions require your acceptance.

Previous versions of these Terms are archived at https://24k.agency/terms-conditions/ and remain accessible for reference. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
